Barmulloch Community Development Company (BCDC) is a local organisation run by local volunteers representing and assisting your community. It is a Registered Charity and is incorporated at Companies House. It has a constitution, known as the Memorandum and Articles of Association which sets out rules for its volunteers to follow on membership, recruitment, appointment of Directors, appointment of office bearers and conduct of meetings such as regular Board meetings, Annual General Meeting, financial management and financial reporting.

In addition to the Memo and Arts document, BCDC also has a Code of Conduct for all board members and a Governance Officer whose duty is to ensure the Company and its Directors act in accordance with legal requirements and in the interests of the community it represents.

The Company maintains a list of members of the Company, who pay up to £1 annually for membership. Members elected or appointed to sit on the BCDC Board are regarded as Directors. All are unpaid volunteers who meet on the second Thursday of each month to consider, discuss and make decisions on your behalf. A small number of sub-committees and an Executive Board also meet regularly and report to the main Board. The Executive Board consists of the Chairperson, Vice-Chairperson, Treasurer and any relevant employees.

Directors are accountable for all activities, events and income, from both earned income and grant awards. Company premises, financial appraisals, future planning, C in the Park Gala, staff performance and new projects are but some of the responsibilities of the Board. The Board has sourced over £2m in grants for the local area in the past few years.

BCDC Memo and Arts state the two longest serving Directors since last appointed/re-appointed must stand down at the AGM (October) and seek re-election alongside any members who have applied for consideration using Nomination Forms. The Company is required to issue Nomination Forms to every Company member 21 days before the AGM.
